Since inception, we have maintained a lean but rigorous governance structure. Shareholders appoint a Board of Directors responsible for strategic oversight. The Board integrates expertise in nephrology, laboratory medicine, infection control, biomedical engineering, water chemistry, and global regulatory affairs—ensuring that product decisions are grounded in clinical reality rather than commercial convenience. Specialized committees operate within the Board in proportion to the company’s scale:

• Audit Committee – oversees financial reporting, internal controls, and external audits. Financial integrity underpins clinical integrity.
• Nomination Committee – ensures the right balance of clinical, technical, and environmental expertise on the Board, identifying members who understand the unique pressures of healthcare water management.
• Compensation Committee – aligns executive rewards with long-term value creation, measured by system uptime, clinical satisfaction, and documented improvements in water quality outcomes.

The Board appoints executive officers to execute the strategic vision. Supporting them are internal groups, including a Water Quality and Technology Committee, which reviews system performance, sensor accuracy, calibration drift, and adverse event reports, and a Risk and Regulatory Panel, which manages regulatory changes, supplier audits, and field safety corrections. An independent Internal Audit team reports directly to the Audit Committee.
